Description

The Director, Technology and Commercial Transactions Attorney will report to the UKG lawyer responsible for UKG’s strategic alliance, procurement, OEM, and other inbound or non-customer agreements globally. This role is ideal for someone who has the proven skills and experience managing attorneys and other professionals, negotiating complex agreements independently, implementing processes designed to gain efficiencies, and who values collaboration.

Responsibilities:

• Manage a team of attorneys and other legal professionals negotiating, drafting, handling, and supporting various complex inbound or non-customer commercial contracts;

• Review, negotiate, draft, and advise on complex third-party SaaS, software, consulting, partner and alliance, license, and other technology-related agreements with sophisticated counter-parties;

• Lead the development of contract support processes, templates, and client facing materials that can be utilized globally;

• Analyze and counsel business stakeholders on risks, contractual obligations, and key business decisions;

• Collaborate with UKG attorneys and a broad spectrum of UKG business stakeholders at all levels within the Company on a range of matters related to UKG’s proposed and existing relationships and agreements with third-parties;

• Develop and refine processes to gain efficiencies in the third-party contracting and onboarding processes; and

• Other duties as requested by supervising attorney.

Qualifications

Basic Qualifications:

• JD degree from a US law school;

• Current member in good standing licensed to practice law in any U.S. jurisdiction;

• 8-12+ years of experience in management of a team of attorneys and other professionals in sophisticated, complex contract review and negotiation, with an emphasis on technology and/or SaaS Agreements.

Preferred Qualifications:

• Leadership experience in a large multi-national company or large law firm strongly preferred

• Experience in managing risks associated with data privacy and security in contracting

• Experience collaborating with senior business stakeholders.

• Excellent written and verbal communication skills, including legal contract drafting skills, and strong time management and problem-solving skills.

• Organized, detail oriented, and able to set and meet deadlines.

• The ability to effectively collaborate with all levels of management, including senior leadership, to drive business results.

• The ability to think strategically and advise on current and pending regulatory issues.

• A demonstrated ability to manage outside Counsel and to work efficiently and independently.

**Pay Transparency for Colorado, New York, Washington and California**

The pay range for this position in Colorado, New York, Washington and California is $174,600 to $250,000, however, base pay offered may vary depending on skills, experience, job-related knowledge and location. This position is also eligible for a short-term incentive and a long-term incentive as part of total compensation.

San Francisco Bay Area Pay Law

There is a different range applicable to specific work locations, within the San Francisco Bay area, the base pay range for this role in those locations is USD $174,600 to $250,000 per year.
