IT Diligence is part of Deloitte's M&A Offering, within our broader Strategy & Transactions practice. Our IT and Product Technology Diligence Specialists are focused on delivering successful, informed business decisions by identifying the key IT and software risks and opportunities associated with the most challenging M&A transactions.

Work You'll Do
As an IT Diligence Specialist Master, you will lead and deliver complex client engagements that help refine the client's IT strategy with a focus on inorganic growth by conducting IT proprietary technology operational diligence for clients as they assess acquisitions and divestitures. You will also have the ability to use your existing transferable skills across other core IT domains. An IT Diligence Specialist Master is a self-starter who is comfortable in an energetic and dynamic "roll-up-your-sleeves" culture.
Specialist Master level responsibilities include but are not limited to:
+ Present a coherent perspective in verbal, written and analytical formats, as part of a broader M&A diligence effort
+ Demonstrate a keen understanding of IT costs and financials and able to quickly conduct cost transformation and cost estimation analysis through a combination of 3rd party benchmark and proprietary data and tools
+ Absorb multiple streams of information, quickly synthesize data, and draw directionally correct conclusions about the assessed target company
+ Develop work plans for components of engagements, coordinate activities between work streams and identify changes in scope
+ Develop scope statements and pricing estimates for prospective clients
+ Identify and collaborate with appropriate subject matter advisors to best serve clients with excellence
+ Proven ability to work effectively as part of a team (including leadership roles) and as an individual
+ Produce and oversee the quality of deliverables and effectively manage the team to ensure exceptional performance
+ Being a resource with certain subject matter areas during diligence activities
+ Frame issues and developing high level approaches to resolve the same
+ Partner with senior executives to define how they employ M&A - in alignment with their corporate strategy - to drive profitable growth and enable them to compete effectively in their industry
+ Manage day-to-day interactions with executive clients and sponsors; develop and maintain contact with top decision makers at key clients
+ Participate and lead aspects of the proposal development process, contributing to the development of proposal pricing strategies. As well as identifying and developing add-on sales opportunities
+ Provide leadership and support for delivery teams and staff in local offices across recruitment, coaching, etc.
+ Improve internal processes, and promote knowledge sharing in the team, by contributing to the community of practice, blogs, and other forms of market eminence
+ Performing role of counselor and coach; actively participate in staff recruitment and retention activities; provide leadership and support for delivery teams and staff in local offices
The Team
Our M&A team offers expert guidance to corporate and private equity clients in navigating complex growth and divestiture scenarios. Our services encompass M&A strategy and transaction diligence, integration and separation planning and execution, as well as transaction financing.
Within M&A strategy and transaction diligence, we have a team dedicated to IT Diligence. Our IT Diligence leaders found the lens of software diligence needs to have a wider angle, focused on the interrelationships among diligence silos and the ways those interrelationships affect both the risk and value creation potential of each transaction. Our specialized practitioners provide our clients with a holistic assessment of software-based targets through an integrated diligence platform, custom tailored for software-based targets and led by software industry veterans. We focus on the value creation potential of each transaction and its inherent operational risks. IT Diligence has an integrated platform which more clearly checks the alignment of the deal macros with our clients' investment theses, focuses on the foundational maturity of the target company, brings more value creation concepts to the diligence effort, and applies a metrics-driven perspective, specific to the software industry.
Qualifications:
Required:
+ At least 6 years of software and technology experience in the majority of the following areas: IT organization, IT processes, applications (custom-developed and off-the-shelf), infrastructure, cloud technology, cyber-security, and software industry; with a keen understanding of how technology enables business strategy
+ A candidate must have 6+ years of IT M&A due diligence or M&A IT Service Delivery Experience in the following areas:
+ Synthesizing data, identifying risks and value-creation opportunities, and developing perspectives and implications as part of an overall concrete assessment of the subject company
+ Facilitating M&A IT diligence discussions with clients and target companies across a broad set of industries with a focus on identifying risks and value creation opportunities across IT organization, IT processes, applications (custom-developed and off-the-shelf), infrastructure, cloud technology, and cyber-security; and demonstrate a keen understanding of how technology enables business strategy and operational capabilities
+ Identifying gaps and risk associated with IT enablement, IT maturity and IT technical debt and provide recommendations on how to mitigate the risks in the M&A context
+ Assessing technology architecture from data, infrastructure, and integration standpoint to provide comments on reliability and scalability of IT environment
+ Managing service excellence by identifying key client business issues, determining client needs by supplementing the standard assessment techniques and tools with innovative approaches, evaluating, and validating analysis and developing recommendations for the client in the context of the overall engagement
+ Developing key diligence artifacts including agendas, data request lists, interview guides, high-level roadmaps, one time and recurring cost analysis models benchmark analysis, synergy analysis, contract analysis, IT-related transition service agreement schedules, high-level integration, divestiture and/or standup roadmaps, client deliverables and other related artifacts
+ Experience in the delivery of at least 20+ IT or product tech / software diligence projects for strategic or financial clients
+ Bachelor's degree and 6+ years consulting and/or industry experience; alternatively, an MBA with 4+ years relevant work experience
+ Limited immigration sponsorship may be available
+ Ability to travel up to 50%, on average, based on the work you do and the clients and industries/sectors you serve
Preferred:
+ MBA or technology-related advanced degree with 6+ years relevant work experience with at least 5+ years of consulting experience, 2+ years of M&A consulting, and at least 6+ years of practical IT operational experience.
+ Experience leading digital transformation efforts across ERP, cloud, infrastructure, custom-developed technologies, etc.
+ Experience leading pre- and post-merger M&A IT activities.
+ Lead responsibility for the delivery of at least 30+ IT or product tech / software diligence projects for strategic or financial clients or other similar experience from other industry or consulting roles.

The wage range for this role takes into account the wide range of factors that are considered in making compensation decisions including but not limited to skill sets; experience and training; licensure and certifications; and other business and organizational needs. The disclosed range estimate has not been adjusted for the applicable geographic differential associated with the location at which the position may be filled. At Deloitte, it is not typical for an individual to be hired at or near the top of the range for their role and compensation decisions are dependent on the facts and circumstances of each case. A reasonable estimate of the current range is $144,200 to $265,600.
You may also be eligible to participate in a discretionary annual incentive program, subject to the rules governing the program, whereby an award, if any, depends on various factors, including, without limitation, individual and organizational performance.
