Robert Half Legal is proud to partner with a leading Phoenix-based organization that provides innovative study abroad solutions to students and universities. The company is currently seeking a highly skilled Corporate Contracts Attorney to support its growing legal needs on a contract basis. This position is fully remote and part-time, with 15–25 hours per week, and offers the potential for permanent hire based on fit and performance.
Position Overview:
Our client is looking for an experienced Corporate Transactional Attorney who can draft, negotiate, and manage a variety of corporate contracts, including Master Services Agreements (MSAs), vendor agreements, lease agreements, and other transactional documents. The ideal candidate will also provide support in corporate governance, internal compliance, and employment matters. Experience with mergers and acquisitions (M& A) is a strong plus.
Key Responsibilities:
+ Draft, review, and negotiate contracts such as MSAs, vendor agreements, lease agreements, and other corporate agreements.
+ Advise on corporate governance matters and assist with compliance documentation/policies to ensure adherence to applicable laws.
+ Provide legal support for internal compliance and employment matters, including policy development and risk management.
+ Assist in M& A transactions, conducting due diligence and drafting agreements, as needed.
+ Offer strategic legal advice and collaborate with internal teams, such as compliance, HR, and operations, to meet business goals.
Requirements
Qualifications:
+ Juris Doctor (JD) degree from an accredited law school.
+ Active license to practice law in the U.S. (any jurisdiction is acceptable).
+ At least 5 years of experience in corporate transactional law, with extensive practice in contract negotiation and drafting.
+ Strong background in corporate governance, employment law, and internal compliance matters.
+ M& A expertise is highly desirable, particularly in conducting due diligence and drafting related agreements.
+ Understanding of or experience with Contract Lifecycle Management (CLM) tools is a plus.
+ Excellent communication and problem-solving skills, with the ability to simplify complex legal concepts for internal stakeholders.
Work Arrangement & Benefits:
+ Type: Part-time (15–25 hours per week).

+ Start Date: Immediate availability strongly preferred.
